DigitalEventPass Terms of Service

These Terms of Service (“Terms”) form a binding agreement between DigitalEventPass (“DigitalEventPass”, “DEP”, “we”, “us”) and you (“you”, “your”). By creating an account, organizing events, selling passes, or using our services, you agree to these Terms.

1. Overview

DigitalEventPass is a software-as-a-service platform that enables organizations to:

  • Create and publish events
  • Sell and issue digital passes
  • Scan and validate passes at the gate
  • Manage promotions, comps, and reporting
  • Connect a Stripe account to receive payments

DEP is the platform provider. We do not run the events and are not the seller of the passes. The event organizer is the merchant of record, as explained below.

2. Accounts & Eligibility

  • You must be at least 18 years old to create an organizer account.
  • You are responsible for maintaining the security of your login credentials and for all activity under your account.
  • You agree to provide accurate information and to keep it up to date, including contact and payout details.

3. Organizers & Stripe Connect

Event organizers must connect a valid Stripe account using Stripe Connect in order to accept payments.

  • You are the merchant of record for all pass sales tied to your Stripe account.
  • Customer payments are processed through your Stripe account, not DEP’s.
  • You are responsible for taxes, refunds, chargebacks, disputes, and compliance with Stripe’s terms and applicable law.
  • DEP may suspend or limit your access if your Stripe account is restricted, disconnected, under review, or used for suspicious activity.

4. Platform Fees

DEP charges a platform fee on each paid pass (for example, a flat fee per pass or an organizer-specific fee). This fee is:

  • Disclosed in your organization’s payment settings and/or dashboard.
  • Collected automatically via Stripe Connect as an application fee or similar mechanism.

DEP may update its fee structure from time to time. We will provide reasonable notice for material changes where required by law.

5. Passes, Check-Ins & Wallet

  • Passes are generally issued as QR-code tickets that can be scanned at the gate. Some passes may be eligible for Apple Wallet or Google Wallet (where enabled by the organizer).
  • Wallet passes are designed for one-time entry. If a pass or screenshot is shared, only the first successful scan will be honored; additional attempts will be rejected as “already used.”
  • DEP is not responsible for lost, shared, or stolen passes, or for the organizer’s admission policies.

6. Refunds & Cancellations

DEP does not set refund policies for events. Each organizer determines its own refund, transfer, and cancellation rules.

  • All refund requests, event changes, or cancellations must be handled directly between you and the event organizer.
  • DEP may assist with technical issues, but does not promise or process refunds on the organizer’s behalf unless explicitly stated.

7. Acceptable Use

You agree not to use DEP to:

  • Violate any law or third-party rights.
  • Sell illegal, unsafe, or prohibited goods or services.
  • Harass, defraud, or mislead attendees, staff, or DEP personnel.
  • Interfere with or attempt to bypass security systems, rate limits, or integrity checks (such as pass anti-fraud protections).

We may suspend or terminate access for misuse or violations of these Terms.

8. Data & Privacy

Our collection and use of personal data is described in our Privacy Policy and Data Retention Policy. By using DEP, you agree to those policies.

9. Service Changes & Availability

  • DEP may update, improve, or change features from time to time, including security enhancements and UI refinements.
  • We aim for high availability but do not guarantee uninterrupted or error-free service.

10. Disclaimers & Limitation of Liability

DEP is provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by law.

To the maximum extent permitted by law, DEP is not liable for lost profits, lost data, indirect, incidental, or consequential damages, or any losses arising from:

  • Event cancellations or changes;
  • Organizer actions, omissions, or policies;
  • Payment disputes between organizers and attendees;
  • Unauthorized sharing or misuse of passes.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use of DEP after changes become effective constitutes your acceptance of the updated Terms.
